1. Introduction
These Terms of Service (“Terms”) govern your use of the websites, investor portal, SMS communications, and related services operated by Centrality Inc., dba Central Capital (“Central,” “we,” or “us”).
By using our Services, you agree to these Terms. If you do not agree, do not use our Services.
2. Eligibility
Our Services are intended solely for accredited investors as defined under Rule 501 of Regulation D under the Securities Act of 1933.
By using our Services, you represent that you meet these requirements and have authority to act.
3. Services Provided
Central manages the Central Mortgage Income Fund, LLC (CMIF), a California-based private credit fund.
Investor account access is powered by Agora, our investor relations management platform. Your use may also be subject to Agora’s terms.
4. Investor Communications
By providing your phone number, you consent to receive SMS/text messages related to investor updates, account access, and fund communications.
Message frequency may vary. Standard carrier rates apply. Reply “STOP” to opt out.
5. Payments and Wires
Central facilitates investor contributions, wires, and distributions through regulated U.S. financial institutions and fund administrator Armanino.
You agree to follow only wire instructions provided directly by Central or its administrator.
Central is not liable for losses resulting from fraud, interception, or investor error unless caused by our gross negligence or willful misconduct.
6. No Offer of Securities
Nothing on our website or Services constitutes an offer to sell or a solicitation to buy securities.
All investments are made only through a definitive Private Placement Memorandum (PPM), Operating Agreement, and Subscription Agreement.
7. Limitation of Liability
To the fullest extent permitted by law, Central shall not be liable for indirect, incidental, or consequential damages, including losses arising from payment errors, unauthorized access, or interruptions in service.
8. Governing Law
These Terms are governed by the laws of the State of California. Disputes will be resolved exclusively in Contra Costa County, California.
